Unless otherwise specified in a separate written agreement, all custom software, code, and materials developed by Cre8tiv Systems as part of client projects shall be subject to the terms outlined in the applicable service agreement.

Client Responsibilities

When engaging our services, clients agree to:

  • Respond to requests for feedback and approvals in a timely manner
  • Ensure they have the right to use any materials, content, or intellectual property provided to us
  • Pay all fees according to the agreed-upon payment terms

Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise agreed in writing, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges and may result in suspension of services.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This obligation continues even after the termination of services.

Project Timelines and Deliverables

We strive to meet all agreed-upon deadlines. However, timelines are estimates and may be affected by factors including client delays in providing feedback, scope changes, or unforeseen technical challenges. Any significant changes to project scope may require revision of timelines and fees.

Warranties and Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. While we strive to deliver high-quality services, we do not guarantee that our services will be uninterrupted, error-free, or meet all of your specific requirements.

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

Limitation of Liability

To the maximum extent permitted by law, Cre8tiv Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claims arising out of or relating to these terms or our services shall not exceed the amount paid by you to Cre8tiv Systems for the services in question during the twelve (12) months prior to the claim.

Indemnification

You agree to indemnify and hold harmless Cre8tiv Systems from any claims, damages, losses, liabilities, and expenses arising out of your use of our services, your violation of these terms, or your violation of any rights of another party.

Termination

Either party may terminate a service agreement in accordance with the terms specified in that agreement. We reserve the right to suspend or terminate your access to our services if you violate these Terms of Service.

Upon termination, you remain responsible for any outstanding fees, and provisions of these terms that by their nature should survive termination shall survive.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on our website and updating the "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the new terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Cre8tiv Systems operates, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes may be resolved through mediation or arbitration as mutually agreed upon.

Entire Agreement
